Terms of Service

These Terms of Service govern your engagement with CLINIC GROWTH DEPARTEMENT LTD (company number 17201670), registered in England and Wales at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
By engaging our services or signing a service agreement, you agree to these terms.
1. Services
We provide B2B digital marketing services to aesthetic clinics, including but not limited to: SEO strategy and execution, website design and development, social media content strategy, WhatsApp booking automation, and analytics reporting.
The specific scope, deliverables, and timeline for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.
2. Payment terms
Our standard payment structure is as follows:
- 50% upfront — due upon signing the Service Agreement. Work begins upon receipt.
- 30% on launch — due when the primary deliverable (website, system, or phase) goes live.
- 20% on outcome — due upon delivery of the first 10 tracked, verified bookings attributable to our work.
For retainer engagements (Growth and Domination tiers), the monthly retainer is due on the 1st of each month by bank transfer or Stripe payment link.
Invoices unpaid after 14 days incur a 1.5% monthly late fee. We reserve the right to suspend services on accounts overdue by more than 30 days.
3. Client obligations
You agree to:
- Provide accurate clinic information, brand assets, and access credentials required for delivery
- Respond to requests for feedback or approvals within 5 business days
- Ensure all content, images, and claims you provide are accurate and legally compliant in your jurisdiction
- Not engage a competing agency for the same service scope during an active retainer without written notice
4. Intellectual property
Upon receipt of full payment, all deliverables created specifically for your clinic become your property. We retain the right to reference the engagement in our portfolio and case studies (anonymised or named, with your prior consent).
We retain ownership of our methodologies, templates, frameworks, and any proprietary tools or systems used to deliver the work.
5. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years.
6. Outcome guarantee
The 20% outcome payment milestone is tied to the delivery of 10 tracked bookings. "Tracked booking" means a confirmed patient appointment where the source is attributable to a CGD-managed channel via UTM tracking, WhatsApp deep links, or agreed analytics methodology.
If 10 tracked bookings are not delivered within 90 days of launch (Sprint) or 120 days (Growth), the 20% final payment is waived. This is the limit of our outcome guarantee.
7. Limitation of liability
Our total liability for any claim arising from our services is limited to the total fees paid by you in the preceding 3 months. We are not liable for indirect, consequential, or speculative losses including lost revenue, lost profit, or reputational damage.
8. Termination
Either party may terminate a retainer engagement with 30 days written notice. The Sprint tier is non-refundable once work has commenced. Termination does not affect any payment obligations already due.
9. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
